Terms and conditions

1. Programs and membership

BusinessAI offers the following products:

• AI Builder Community: a monthly membership providing access to live group webinars, an on-demand training library, prompt templates, AI tools and resources, and a private community.
• AI Strategy Program (Level 1): a twelve-month consulting program delivered via Microsoft Teams, providing private consulting sessions, workspace setup, and strategic AI guidance.
• AI Execution Program (Level 2): a twelve-month consulting program delivered via Microsoft Teams, providing consulting sessions, implementation coaching, the AI Profit Blueprint, and an Architecture Plan.
• AI Transformation Program (Level 3): a twelve-month consulting program delivered via Microsoft Teams, providing senior consulting sessions, implementation coaching, team training, and quarterly strategy sessions.
• AI Profit Blueprint (Foundation): a strategy engagement providing a 2-hour facilitated workshop, analysis of your top 3 challenges, and an actionable Blueprint report with prioritised recommendations, solution designs, and a clear investment case.
• AI Profit Blueprint (Scale): a strategy engagement providing a 4-hour facilitated workshop, analysis of up to 6 challenges, and an actionable Blueprint report with prioritised recommendations, solution designs, and a clear investment case.
• Custom Builds & Managed Services: a bespoke offering providing custom AI system builds, integrations, and/or ongoing managed support, scoped and priced according to your specific requirements.

All consulting programs include access to the AI Builder Community for the duration of the engagement.

The specific inclusions, session allocations, and deliverables for your enrolled program are described in the current program brochure published on the BusinessAI website, which forms part of these terms by reference. BusinessAI reserves the right to adjust program inclusions from time to time, provided any changes do not materially diminish the overall value delivered.

2. Fees and payment

All fees are in Australian dollars and are exclusive of GST. GST will be added where applicable.

Clients who select monthly billing will be charged on a recurring monthly basis from the start date. Clients who select the paid-in-full option will be charged the applicable twelve-month investment at the time of enrolment.

Payment is processed via the BusinessAI payment platform. By enrolling, you authorise BusinessAI to charge the applicable fees in accordance with your selected payment schedule.

Where a payment fails or is declined, BusinessAI will notify you by email. If your account is not brought up to date within five business days, all scheduled consulting calls will be suspended and program access may be restricted until the outstanding balance is fully settled. BusinessAI will not deliver consulting sessions while an account is in arrears. Suspension does not reduce or waive any amounts owing, and you remain liable for all fees during any period of suspension.

3. Term and renewal

Consulting programs (Levels 1, 2, and 3) are delivered over an initial term of twelve months from the confirmed start date. Profit Blueprints are delivered within 7 to 14 days of the agreed session date. Custom Builds and Managed Services engagements follow the term set out in their applicable Statement of Work or Managed Services Agreement.

At the conclusion of the initial twelve-month term, your agreement will automatically convert to a rolling month-to-month arrangement on the same terms, unless either party provides written notice of termination at least 30 days prior to the end of the initial term. BusinessAI will contact you in advance of your renewal date to discuss continuation options.

The AI Builder Community membership continues on a month-to-month basis until cancelled in accordance with Section 4.

4. Cancellation

Consulting programs (Levels 1, 2, and 3): Monthly billing clients may cancel by providing 30 days' written notice prior to the end of the initial twelve-month term. Cancellation does not take effect until the end of the current billing period. Paid-in-full clients are committed to the full twelve-month term. No early cancellation or partial refund is available for paid-in-full enrolments. Once a billing period has commenced, no refunds are issued for that period under any circumstances.

AI Builder Community membership: Members may cancel at any time by providing 30 days' written notice. Cancellation takes effect at the end of the then-current billing month. No refunds are issued for the month in which notice is provided or any prior billing periods.

Custom Builds and Managed Services engagements are cancelled in accordance with the terms of their applicable Statement of Work or Managed Services Agreement.

All cancellation requests must be submitted in writing to hello@businessai.com.au. Cancellation is confirmed only upon written acknowledgement from BusinessAI.

Upon cancellation or termination of a consulting program or AI Builder Community membership, your access to the AI Builder Community, including all live sessions, the on-demand library, prompt templates, tools, and private community, will cease immediately at the end of the final billing period. No access is retained after the cancellation date.

5. Refunds

BusinessAI does not offer refunds once a billing period has commenced. This applies to both monthly payments and paid-in-full investments.

In the event of a genuine billing error, contact BusinessAI within 14 days of the charge. BusinessAI will review the matter and, where a billing error is confirmed, will issue a correction or credit at its discretion.

Nothing in this clause limits any rights you may have under the Australian Consumer Law.

6. Delivery of services

BusinessAI will use reasonable endeavours to deliver consulting sessions and program inclusions as described. Sessions are scheduled by mutual agreement between you and your assigned consultant or coach.

All consulting sessions are conducted virtually via Microsoft Teams. You are responsible for ensuring you have a stable internet connection and a functioning Microsoft Teams setup prior to each session. BusinessAI is not responsible for technical issues on your end that prevent attendance.

If you are unable to attend a scheduled session, you must provide at least 24 hours' notice by email to reschedule. Sessions cancelled with less than 24 hours' notice are forfeited and will not be carried over.

Sessions do not carry over between months unless BusinessAI has agreed to a reschedule in writing. Unused sessions at the end of a billing month are forfeited.

BusinessAI reserves the right to substitute a consultant or coach of equivalent experience where required due to unavailability, illness, or other operational reasons.

7. Your responsibilities

To receive full value from the program, you agree to:

• Attend scheduled sessions or provide adequate notice to reschedule.
• Complete any agreed preparation or actions between sessions.
• Engage with program materials and resources in good faith.
• Maintain an active and valid payment method for the duration of the engagement.
• Ensure access to Microsoft Teams and a stable internet connection for all virtual sessions.

BusinessAI will perform sessions using reasonable skill and care and recognised facilitation methods. Findings represent a point-in-time assessment and are intended solely for decision support.

BusinessAI acknowledges that outcomes depend on your own business context, effort, and implementation. The programs are designed to build AI capability and provide strategic guidance. You remain responsible for decisions made as a result of program participation.

8. Intellectual property

• All materials, frameworks, templates, prompts, and resources provided through the programs and membership are the intellectual property of BusinessAI.
• You receive a non-exclusive, perpetual licence to use these materials for your internal business purposes.
• You must not reproduce, share, sell, or distribute BusinessAI materials to third parties without prior written consent from BusinessAI.
• Any bespoke materials created for you as part of a consulting engagement (such as Architecture Plans or custom builds) may be used by you for your own business purposes.
• BusinessAI retains the right to reference de-identified insights or outcomes in marketing or case studies, provided no confidential information or trade secrets are disclosed.

9. Confidentiality

Each party must keep confidential all non-public information of the other, and may disclose such information only:

• To its professional advisers or subcontractors who have a need to know and are bound by equivalent obligations, or
• Where required by law.

Confidentiality obligations survive for three years after completion of the engagement.

10. Liability and disclaimers

• To the extent permitted by law (including negligence), BusinessAI's total aggregate liability under these terms is limited to the fees paid.
• BusinessAI is not liable for indirect, consequential, or special losses (including loss of profit or data).
• These limits do not apply to fraud, wilful misconduct, or non-excludable statutory rights.

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy conferred on you under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded, restricted, or modified. Where our services are not of a kind ordinarily acquired for personal, domestic, or household use, our liability for failing to comply with a consumer guarantee is limited, at our option, to resupplying the services or paying the cost of having the services resupplied, except where this would contravene the Australian Consumer Law.

The programs and membership are educational and advisory in nature. BusinessAI does not guarantee any specific business outcome, revenue increase, or result from participation. The effectiveness of AI tools and strategies depends on many factors outside BusinessAI's control, including your own implementation and the nature of your business.

11. Privacy

BusinessAI collects and handles personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Your information is used to deliver the programs, communicate about your membership, and improve services. Personal information is not sold to third parties.

12. General terms

• Governing law: Victoria, Australia.
• Dispute resolution: good faith negotiation, then mediation, then litigation.
• Force majeure: no liability for events beyond reasonable control.
• Assignment: neither party may assign these terms without the other's consent.

Amendments: BusinessAI reserves the right to update or amend these Terms and Conditions from time to time. Where changes are material, reasonable notice will be provided by email or through the member portal. Continued participation in a program or membership following notice of any changes constitutes acceptance of the updated terms.
